By accessing or using the Service, you agree to be bound by these Terms of Use. If you do not agree, please discontinue use of the Service immediately. 1. Acceptance of Terms By creating an account or using any part of the Service, you confirm that you are at least 18 years of age, have read and understood these Terms, and agree to be legally bound by them. If you are using the Service on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms. 2. Description of Service Don Bear USA provides a freight and logistics management platform that connects clients who need freight shipped with drivers who fulfill those shipments. The Service includes shipment tracking, document management, driver coordination, real-time location monitoring, and related operational tools. 3. User Accounts 3.1 Registration To access the Service, you must register for an account via our authentication provider, Clerk. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. 3.2 Account Security You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately at donbear@gmail.com if you suspect unauthorized access to your account. Don Bear USA is not liable for any loss or damage arising from unauthorized use of your account. 3.3 Account Roles The Service operates with three user roles — client, driver, and admin — each with defined permissions and access levels. You agree to use only the features and data accessible to your assigned role. 4. Acceptable Use You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to: Use the Service in any way that violates applicable federal, state, or local laws or regulations Submit false, misleading, or fraudulent shipment information Upload files or documents that contain malware, viruses, or harmful code Attempt to gain unauthorized access to any part of the Service or its infrastructure Interfere with or disrupt the integrity or performance of the Service Impersonate any person or entity or misrepresent your affiliation with any person or entity Use the Service to transmit unsolicited communications or spam Reverse engineer, decompile, or disassemble any part of the Service 5. Driver Responsibilities Drivers using the Service agree to: Provide accurate real-time location data during active assignments Upload accurate proof-of-delivery documents upon shipment completion Comply with all applicable transportation laws and regulations Immediately report any incidents, delays, or issues that may affect shipment delivery Don Bear USA is not responsible for the actions or conduct of drivers outside of the platform. 6. Shipment Data & Uploaded Files You are solely responsible for the accuracy of shipment information you submit through the Service. You represent and warrant that any files or documents you upload do not violate any applicable law or infringe upon the rights of any third party. Don Bear USA reserves the right to remove any content that violates these Terms. 7. Intellectual Property All content, features, and functionality on the Service — including but not limited to text, graphics, logos, and software — are owned by Don Bear USA or its licensors and are protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our express written permission. 8. Third-Party Services The Service integrates third-party providers including Clerk, Amazon Web Services, Mapbox, and OpenStreetMap. Your use of these services is subject to their respective terms of service and privacy policies. Don Bear USA is not responsible for the practices of these third parties. 9. Legal Acceptance Records By accepting these Terms, you consent to Don Bear USA recording your acceptance including the timestamp, IP address, user agent, and version of the Terms accepted. These records are maintained indefinitely as compliance evidence. 10. Termination We reserve the right to suspend or terminate your access to the Service at our sole discretion, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, the Company, or third parties. Upon termination, your right to use the Service ceases immediately. 11. Limitation of Liability TO THE FULLEST EXTENT PERMITTED BY FLORIDA LAW, DON BEAR USA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 13. Governing Law & Dispute Resolution These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Florida, and you consent to personal jurisdiction in such courts. 14.
